Deal Initiation

We search for suitable take-over candidates or potential buyers or investors, usually on the basis of an explicit corresponding mandate.

To find the ideal transaction partner, we apply systematic research and draw from our extensive network within the industry, the financial community, intermediaries, brokers, investors and advisors as well as SOCIUS, our own international M&A network, consisting of partner firms in the US, South America, Asia and other European countries. We then contact selected targets discretely and professionally.

Due Diligence Analysis

We organize and manage the due diligence examination of acquisition targets or sale candidates.

We do this by helping to precisely define the due diligence issues and to allocate the corresponding jobs to the due diligence team experts. We monitor, structure and evaluate the due diligence findings, and insert them into the financial master plan of the transaction. As the result, we develop a comprehensive factual knowledge of the target´s situation and financial prospect.

Judgement and Evaluation

We provide our estimate for the achievable valuation and required time to project completion.

To arrive at these estimates, we evaluate the commercial and financial positioning, the due diligence findings, the actual performance, projections and plan and all other facts which can also be of relevance for negotiations, and produce professional analyses and presentations.

Implementation

We manage the entire transaction process regarding content, communication, logistics, timing.

We control the communication process, organize and resolve the required work modules if possible in parallel with more than just one potential transaction partner, with the objectives to swiftly and efficiently overcome upcoming problems and to optimize the negotiation position of our client.

Negotiation

We negotiate the economic and financially relevant transactions terms.

In doing so, we seek solutions for the wide list of issues to be agreed upon. We define the rules for each process step like confidential information, company visits, due diligence, management interviews, and moreover we negotiate best possible terms and conditions by testing the other party´s  ultimate resistance line.
